SNK Advantage+ Rewards Program and Mobile Application Terms and Conditions

NOTICE TO USERS – LEGAL RIGHTS WAIVER AGREEMENT

THIS AGREEMENT CONTAINS BINDING ARBITRATION PROVISIONS, CLASS ACTION WAIVERS, DAMAGES LIMITATIONS, WARRANTY DISCLAIMERS, AND ADDITIONAL PROVISIONS DESIGNED TO MAXIMIZE OPERATOR LEGAL PROTECTION TO THE FULLEST EXTENT PERMITTED BY LAW.

BY USING THE SNK ADVANTAGE+ PLATFORM YOU EXPRESSLY WAIVE CERTAIN LEGAL RIGHTS INCLUDING THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS, JURY TRIAL RIGHTS WHERE PERMITTED, AND CERTAIN TORT CLAIMS TO THE MAXIMUM EXTENT ALLOWED BY LAW.

Introduction

Welcome to SNK Advantage+ Rewards Program (“SNK Advantage+” or “Program”). SNK Advantage+ and Mobile Application Terms and Conditions (the “Terms”) constitute a legally binding agreement between you and SNK Petroleum Wholesalers, Inc. (“SNK Petroleum,” “SNK,” “we,” “our,” or “us”) relating to your participation in the Program and your access to and use of the SNK mobile application, website, digital wallet, and related services (collectively, the “App”).

By enrolling in the Program or accessing or using the App, you agree to be bound by these Terms. Your participation in the Program is expressly conditioned upon your acceptance of and compliance with these Terms. If you do not agree to these Terms, you are not authorized to participate in the Program or to use the App.

Program Overview

SNK Advantage+ is a customer loyalty program that allows eligible registered users to receive fuel discounts and promotional offers at participating SNK-branded retail locations within the United States.

Participating locations may include independently owned and operated fuel stations operating under the SNK brand. Participation may vary by location, and SNK Petroleum does not guarantee that the Program will be available at every SNK-branded site.

Rewards under the Program may include cents-per-gallon discounts, introductory promotions, limited-time incentives, or other promotional benefits as determined by SNK. All rewards are subject to additional terms communicated through the App or at the time of the offer.

Rewards apply only to eligible fuel purchases and do not apply to taxes, fees, or other excluded items. Unless otherwise specified, rewards expire thirty (30) days after issuance.

Absolute Program Control Rights

SNK retains absolute, unilateral, and unconditional discretion to modify, suspend, terminate, or discontinue the Program, App functionality, rewards structure, redemption values, promotions, or services at any time without liability or advance notice.

Fuel Pump Errors / Transaction Failures / Price Discrepancies

SNK Petroleum shall not be responsible for errors or failures at fuel pumps or POS systems, including, incorrect charges or failure of discounts to apply. SNK may adjust or reverse transactions in its sole discretion. Prices shown in the App are informational only. Pump price controls and there shall be no liability of discrepancies. Discounts apply to posted retails prices and do not guarantee the lowest price.

Non-Transferability and Anti-Resale

Rewards are personal, non-transferable, and may not be sold, exchanged or used for resale or commercial purpose.

Account Suspension and Termination

SNK may suspend or terminate accounts at any time. Grounds include inactive accounts, duplicate accounts, fraudulent or abusive behavior and/or violations of terms or law.

Rewards Are Revocable Licenses Only

Rewards, points, credits, and promotional balances constitute revocable licenses only. They have NO CASH VALUE, do not constitute property, and do not create contractual or vested rights. SNK may reverse, revoke, or cancel rewards for any reason including economic, operational, regulatory, or reputational risk exposure.

Aggressive Fraud Protection and Audit Rights

SNK may permanently monitor, audit, track, and analyze user transactions, geolocation data, and behavioral patterns for fraud detection purposes.

SNK may reverse transactions, confiscate rewards, freeze accounts, or pursue legal action for suspected fraud, gaming of rewards, commercial abuse, or unauthorized automated use.

Maximum Liability Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SNK'S TOTAL LIABILITY SHALL NOT EXCEED $1.00 OR THE VALUE OF REWARDS IN THE USER ACCOUNT, WHICHEVER IS LESS.

SNK SHALL NOT BE LIABLE FOR ANY: BUSINESS INTERRUPTION, LOST PROFITS, DATA LOSS, SECURITY BREACHES, CYBER ATTACKS, APP MALFUNCTIONS, FUEL SUPPLY INTERRUPTIONS, PRICE VOLATILITY, OR THIRD PARTY CONDUCT.

Broad Warranty Disclaimer

THE PLATFORM IS PROVIDED ON AN AS-IS, AS-AVAILABLE BASIS WITHOUT WARRANTY OF ANY KIND, INCLUDING EXPRESS, IMPLIED, STATUTORY, OR IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT.

Mandatory Arbitration and Class Action Waiver

ALL DISPUTES MUST BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION. NO CLASS ACTIONS, REPRESENTATIVE ACTIONS, OR CONSOLIDATED CLAIMS ARE PERMITTED.

Marketing and Communication Consent

By opting in, you will receive marketing promotional messages from the Program. User consents to receive SMS, email, push notifications, automated calls, and marketing messages. Message frequency may vary and Message and data rates may apply. User waives TCPA and similar claims to the extent permitted by law.

Opt out instructions. For recurring campaigns this will just be the STOP keyword, for single messages it will vary by program. (e.g. “Reply STOP to the short code. We will send a final SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us.”)

Carriers are not liable for delayed or undelivered messages.

Third-Party Data Services / Release

The Program and the SNK Advantage+ Mobile Application may utilize third-party service providers, including but not limited to PDI Technologies, Inc. (“PDI”), for purposes including data storage, data analytics, payment processing, marketing analytics, transaction tracking, and customer loyalty program administration.

You expressly acknowledge and agree that:

1.SNK does not control the security infrastructure, data handling practices, or cybersecurity protections maintained by PDI or any third-party service provider.

2. To the maximum extent permitted by applicable law, you hereby release, waive, and discharge SNK Petroleum Wholesalers Inc., its affiliates, officers, directors, employees, agents, and business partners from any and all liability, claims, damages from participating in SNK Advantage+ Rewards Program, including, but not limited to, unauthorized access to personal information; cybersecurity incidents; 3data breaches; data loss or data corruption; unauthorized disclosure of personal or financial information; any security incident occurring through or attributable to systems operated, hosted, or controlled by PDI or other third-party vendors.

3. You further agree that, to the fullest extent permitted by law, your sole and exclusive remedy for any claims arising from a data breach, security incident, or privacy violation involving data stored, processed, transmitted, or maintained by PDI shall be directed to PDI, subject to any applicable terms of service.

No Award of Damages / Limitation of Liability

SNK, ITS PARENT COMPANIES AND THEIR RESPECTIVE SUBSIDIARIES AND AFFILIATES, AND PARTICIPATING SHELL BRANDED WHOLESALERS AND RETAILERS SHALL NOT BE LIABLE, UNDER ANY CIRCUMSTANCES WHATSOEVER, FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL OR OTHER DAMAGES ARISING OUT OF THE USE OF THE SNK ADVANTAGE+ REWARDS PROGRAM. THIS INCLUDES WITHOUT LIMITATION LOST PROFITS, BUSINESS INTERRUPTION, DAMAGE TO EQUIPMENT, COMPUTER PROGRAMS, OR INFORMATION SYSTEMS, OR THE LOSS OF ANY INFORMATIONORDATA. THEMAXIMUMLIABILITYCOLLECTIVELYOFSNK SHALL NOT EXCEED THE AMOUNT OF ANY EARNED REWARDS FOR ANY DAMAGES OF ANY NATURE, INCLUDING GROSS NEGLIGENCE, ARISING IN CONTRACT, TORT OR OTHERWISE.

Intellectual Property Protection

All software, designs, interfaces, trademarks, trade dress, and data analytics systems remain exclusive property of SNK.

Export Compliance and National Security Restrictions

Users may not access the Platform from sanctioned jurisdictions or restricted parties lists.

Governing Law

This Agreement shall be governed by the laws of the State of New York.
